Legal Due Diligence
During M&A, investment and IPO processes, legal considerations can be as important as financial and tax considerations to the success of the transaction. Carrying out a legal risk assessment in advance gives companies visibility on future issues. We can assist clients to plan and execute legal due diligence exercises and carry out legal risk assessments in respect of transactions and for internal compliance.
We can assist clients with due diligence exercises in respect of:
- proposed investments, M&A transactions or joint ventures;
- admission to trading on the AIM Market of the London Stock Exchange; and
- internal group re-organisations, risk assessments or compliance checks.
Legal due diligence exercises can identify issues which affect the structuring of transactions or disclose weaknesses or risks in the underlying business. Identifying those issues gives interested parties the chance to fix any issues discovered before they cause problems, re-price according to the perceived risk, seek additional contractual or insurance protection or, in extreme cases, to decide to walk away.
